Appendix 4G and Corporate Governance Statement
Summary
This is our annual corporate governance statement for the year ended 30 June 2026, setting out how our board oversight, policies and practices measure up against the ASX Corporate Governance Council's recommendations.
The short version: we follow the great majority of the recommendations, and where we don't, we've explained why and what we do instead. Given Verity Resources' current size, the board of three directors handles the work that committees (audit, risk, remuneration, nomination) would otherwise do, rather than running separate committees. We think this is the right call while the company is at this scale, but we've disclosed it openly rather than glossing over it.
A few specific departures worth flagging. We haven't set measurable gender diversity objectives for the board, senior executives or workforce this year, and our workforce diversity figures currently sit at 0% across the board, senior executives and the wider organisation. We don't have a formally appointed independent chair, Patrick Volpe has acted in that role as a non-independent, non-executive director. We also didn't complete formal performance evaluations of the board or individual directors this year, and we haven't reviewed our risk management framework in the past 12 months, on the basis that our operations haven't materially changed. As we have no CEO or CFO, the usual sign-off on our financial statements was instead given by our company secretary and a director.
None of this changes our operations or financial position, it's a governance health check that we're required to publish each year, and it's a chance for us to be upfront about where our practices differ from the standard recommendations and why.
The full statement, including our board charter, policies and skills matrix, is on our website. Happy to take any questions about it through the box on this page.
